1. Acceptance of Terms

Welcome to the Nurse Charting Pro. These Terms and Conditions ("Terms") govern your use of our mobile application and related services (collectively, the "Service"). By installing, accessing, or using the App, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the App. Your continued use of the App following any changes to these Terms constitutes your acceptance of those changes.

2. Description of Service

The Nurse Charting Pro is a mobile application designed to assist healthcare professionals with:

• Managing nurse-patient room assignments • Tracking chart completion status • Facilitating workflow organization in healthcare facilities

The Service is provided as a tool to support healthcare operations and is not intended to replace professional medical judgment or clinical systems of record.

3. Eligibility and User Accounts

To use the Nurse Charting Pro, you must:

• Be at least 18 years of age • Be a healthcare professional or authorized personnel at a healthcare facility • Have the authority to access patient assignment information in accordance with your facility's policies • Comply with all applicable laws, regulations, and professional standards

You are responsible for maintaining the confidentiality of your device and any access credentials. You agree to notify us immediately of any unauthorized use of your account or device.

4. User Responsibilities

4.1 Accurate Information

You agree to:

• Enter accurate and current information into the App • Update information promptly when changes occur • Verify the accuracy of information before relying on it for patient care decisions

4.2 Compliance with Healthcare Policies

You must:

• Use the App in accordance with your healthcare facility's policies and procedures • Comply with all applicable healthcare regulations, including HIPAA (if applicable) • Maintain patient confidentiality and privacy at all times • Follow your facility's protocols for data security and device usage

4.3 Device Security

You are responsible for:

• Securing your device with passwords, biometric locks, or other security measures • Preventing unauthorized access to the App and the data stored within it • Logging out or locking the App when not in use • Reporting lost or stolen devices immediately to your facility's IT department

4.4 Professional Use Only

The App is intended solely for professional use in healthcare settings. You agree not to use the App for personal purposes or in any manner unrelated to your authorized healthcare duties.

5. Prohibited Uses

You agree NOT to:

• Use the App in any way that violates applicable laws, regulations, or professional standards • Attempt to access, modify, or reverse engineer the App's source code or underlying technology • Introduce viruses, malware, or other harmful code into the App • Use the App to harass, threaten, or harm others • Share patient information outside of authorized healthcare contexts • Use automated systems or bots to access the App • Remove, obscure, or alter any copyright, trademark, or proprietary notices • Use the App for any commercial purpose without our express written permission

6. No Medical Advice Disclaimer

IMPORTANT: The Nurse Charting Pro is a workflow management tool only. It does NOT provide medical advice, diagnosis, or treatment recommendations.

• The App is not a substitute for professional medical judgment • All patient care decisions must be made by qualified healthcare professionals based on clinical assessment and facility protocols • Do not rely solely on the App for any medical decisions • Always verify information through your facility's official systems of record • In case of medical emergencies, follow your facility's emergency protocols immediately

By using the App, you acknowledge that it is a supplementary tool and does not replace clinical judgment, medical records systems, or established healthcare protocols.

7. Intellectual Property Rights

The Nurse Charting Pro, including its design, code, graphics, and content, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose in accordance with these Terms. This license does not grant you any rights to:

• Reproduce, distribute, or create derivative works of the App • Use the App's branding, logos, or trademarks without permission • Claim ownership of any part of the App

8. Data Ownership and Privacy

You retain ownership of all data you enter into the App. By using the App, you acknowledge and agree to our Privacy Policy, which explains how we collect, use, and protect your information.

Since all data is stored locally on your device, you are responsible for backing up your data and ensuring its security. We are not responsible for data loss resulting from device failure, loss, or user error.

9. Disclaimer of Warranties

NURSE CHARTING PRO IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement • Warranties that the App will be uninterrupted, error-free, or secure • Warranties regarding the accuracy, reliability, or completeness of any information provided by the App

We do not warrant that the App will meet your requirements or that any errors will be corrected. Your use of the App is at your sole risk.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY:

• Direct, indirect, incidental, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Personal injury or property damage resulting from your use of the App • Damages arising from errors, inaccuracies, or omissions in the App • Damages resulting from unauthorized access to your device or data • Damages arising from reliance on information in the App for patient care decisions

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO USE THE APP (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Nurse Charting Pro, its developers, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the App • Your violation of these Terms • Your violation of any applicable laws, regulations, or third-party rights • Any harm or damages caused by your negligence or intentional misconduct

12. Modifications to the Service and Terms

12.1 Changes to the App

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

12.2 Changes to These Terms

We may update these Terms from time to time. When we make changes:

• We will update the "Version" and "Effective Date" at the top of this document • We will notify you through the App (via a re-acceptance prompt) • Your continued use of the App after changes take effect constitutes acceptance of the updated Terms

If you do not agree to the modified Terms, you must stop using the App.

13. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause or notice, if we believe you have violated these Terms or applicable laws.

You may terminate your use of the App at any time by uninstalling the application from your device. Upon termination:

• Your license to use the App will immediately cease • You must delete all copies of the App from your device • Provisions that by their nature should survive termination (e.g., disclaimers, limitations of liability, indemnification) will remain in effect

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from or relating to these Terms or your use of the App shall be resolved through:

Informal Negotiation: First, contact us to attempt to resolve the dispute informally
Mediation or Arbitration: If informal resolution fails, disputes may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association
Court Jurisdiction: If arbitration is not applicable, disputes shall be resolved in the courts of the State of North Carolina, United States

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the App and supersede all prior agreements, understandings, and communications, whether written or oral.

17. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by an authorized representative.

18. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.
